Please review the following terms and conditions, which govern the use of the website TapInTal.com.

1. General Remarks

The website tapintal.com (the Website) is owned and operated by JT TechnoSoft Inc. (the Site Operator). The Website may only be used for lawful purposes by individuals looking for job opportunities (Candidates) and employers looking to hire Candidates for job positions based in Canada or USA for their company (the Employer). The Site Operator provides various services at the Website, including maintaining a collection of profiles of Candidates (Candidate Profiles) and advertisements for jobs at Employer companies (Job Advertisement), providing resume search and results listing of Candidate Profiles, and providing job search and results listing of Job Advertisements (Job Board).
 
This document sets out a legal agreement (the Agreement) that governs the use of the Website. Use of the Website constitutes agreement to follow and be bound by this Agreement.

 This Agreement includes the Privacy Policy set out at https://www.tapintal.com/terms_file/privacy.html, which outlines the Site Operator™s policies relating to the collection and use of personal information through the Website.
The Site Operator reserves the right to modify this Agreement at any time in its sole discretion without prior individual notice. Any modifications to this Agreement will be posted on the Website, and subsequent use of the Website constitutes an agreement to be bound by and comply with these modifications. Please review the Agreement with each use of the Website. This Agreement was last modified at the œlast updated? date that appears at the top of the Agreement. If you do not agree to these terms, please do not use the Website.

Website is provided for informational purposes only. The Site Operator is a conduit for information and is not obligated and has no responsibility to screen or monitor information submitted by Employers, Candidates or other users of the Website. The Website provides a venue for interaction between Employers and Candidates. The Site Operator is not involved in the actual employment transaction between Employer and Candidate, and has no control over the Employer and Candidate actions and quality, safety, accuracy, legality of information submitted to the Website.

The Website, and all materials on the Website, including text, images, illustrations, graphics, designs, icons, software, applications, music and sound files, photographs, commercials, video clips and other materials, and their selection and arrangement, and the copyrights, trademarks, domain names, trade dress and/or other intellectual property in such materials, are owned, or licensed by the Site Operator, with all rights reserved. The materials on the Website are protected by copyright and other laws. The materials on the Website may not be sold, modified, altered, copied, reproduced, displayed, distributed, extracted, or otherwise used in any way for any public or commercial use. Any reproduction of materials on the Website for personal use, non-commercial must retain all proprietary notices.

 
2. Employer Registration
 
An Employer must register for an account at the Website in order to post Job Advertisements for their company in Canada or USA. In order to post Job Advertisements, the Employer™s company must be a registered company in Canada or USA. An Employer registers with the Site Operator for an account by providing required identification information and required contact information, including company name, description, company website, e-mail address, address, contact name, phone number, and username. The Employer is responsible for providing identification information and contact information. The Employer must provide complete and accurate information that it is authorized to use in association with its company. An Employer may not create an account for another company and may not create multiple accounts. After an Employer provides the required identification information and contact information an activation confirmation message will be sent to the e-mail address associated with the Employer in order to activate the account. The Employer is responsible for maintaining the confidentiality of its account password and the accuracy of information about its account. The Employer is also responsible for all activities that occur in connection with its account. The Employer agrees to notify the Site Operator immediately of any unauthorized use of its account. The Site Operator reserves the right to temporarily or permanently terminate an Employer™s account at any time for any or no reason. By creating an account, an Employer agrees to receive certain communications in connection with the Website. The Site Operator will store all information received from the Employer on servers located in Canada.
 
3. Job Advertisements
 
After an Employer has activated their account, the Employer can post one or more Job Advertisements for a job based in Canada or USA. A Job Advertisement includes a job name, a job code, key skills, a job description, job type, job level, salary range, job location, job requirements, functional area, and number of openings. Before a Job Advertisement is made available to Candidates through Job Board the Site Operator will review the Job Advertisement and the associated Employer.
 
The Site Operator may, at its sole discretion, decline to make any Job Advertisement available to Candidates on a Job Board. The Site Operator reserves the right to remove, screen, or edit Job Advertisements from time to time at the Site Operator™s sole discretion and without notice. The Employer is responsible for providing the required information for the Job Advertisement. An Employer is not permitted to submit Job Advertisements that are unsuitable, false, intentionally misleading, offensive, or defamatory; violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; contains material that is unlawful, including illegal hate speech or pornography; exploits or otherwise harms minors; or violates or advocates the violation of any law or regulation. The Site Operator has no obligation to retain or provide an Employer with copies of Job Advertisements, nor do they guarantee any confidentiality with respect to provided Job Advertisements. The Site Operator may at its sole discretion delete the Job Advertisement, the Employer™s account and deny access to the Website.
 
Once a Job Advertisement is published, it may not be possible to withdraw the Job Advertisement within any particular time period. The Employer may update the information for the Job Advertisement. Such updates will be applied to the Job Advertisement in accordance with the practices of the Site Operator.
 
The Employer assumes all risks associated with its account and Job Advertisements, including any reliance by any Candidate, or other user of the Website on its quality, accuracy, or reliability, or any disclosure of personal information in the Job Advertisement. The Site Operator makes no claims or promises about the quality, accuracy, security, safety, or reliability of the information in a Job Advertisement. The Employer represents that it has the necessary permissions for its Job Advertisements and authorize the use and display of its Job Advertisements provided to the Site Operator for the Job Board. An Employer may not imply that Job Advertisements are in any way sponsored or endorsed by the Site Operator.
 
An Employer may be exposed to liability if, for example, its Job Advertisements contain material that is false, offensive, unsuitable, intentionally misleading, or defamatory; violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; contains material that is unlawful, including illegal hate speech or pornography; exploits or otherwise harms minors; or violates or advocates the violation of any law or regulation
 
The Site Operator may use a Job Advertisement in a number of different ways, including publicly displaying it, reformatting it, incorporating it into other works, displaying it in whole or in part in conjunction with other works, creating derivative works from it, promoting it, displaying an index to it, and distributing it. As such, the Employer hereby irrevocably grants the Site Operator a world-wide, non-exclusive, royalty-free, transferable right to use the Job Advertisements provided to the Site Operator for any purpose. The Employer also irrevocably grants Candidates and other users of the Website the right to access Job Advertisements in connection with their use of the Website. Finally, the Employer irrevocably waives, and causes to be waived, against the Site Operator and its users any claims and assertions of moral rights or attribution with respect to the Job Advertisements provided to the Site Operator, where \"use\" means use, copy, publicly perform or display, distribute, modify, translate, and create derivative works.
 
The Site Operator may make Job Advertisements available on the Website via Job Board. An Employer may link to their Job Advertisements on a third party website provided that the Employer does not suggest that the Site Operator promotes or endorses any third party causes, ideas, websites, products or services, including its Job Advertisements and company.
 
The Site Operator may at its sole discretion limit the number of Job Advertisements that an Employer can post on the Job Board.
 
A Job Advertisement may be posted on the Job Board for an initial period of 30 days starting from the date it is first published on the Job Board. As part of a clean-up process, the Site Operator reserves the right to remove or request Employer to remove a Job Advertisement which has been published on the Job Board for more than 30 days, has no apparent hiring activity, or is closed for hiring.
 
An Employer may submit Job Advertisements for its company or on behalf of a third party representing as a head hunter, recruitment agency, or staffing agency.
 
The Site Operator assumes no responsibility for Job Advertisements published on the Website, and makes no representation of the ability of the Employer to offer a job in a Job Advertisement.
 
4. Candidates
 
After a Candidate has activated their account, the Candidate will provide information to the Site Operator for its Candidate Profile including a cover letter, a detailed resume and optionally a video resume. A Candidate will also provide information regarding the Candidate™s job experience, job skills, expertise, qualifications, and job preferences (œKey Skills?) to the Site Operator for its Candidate Profile. A Candidate can also provide its current annual salary range for its Candidate Profile.
 
An Employer and the Site Operator may perform a resume search for Candidate Profiles based on the Key Skills to identify and shortlist Candidates for jobs in Job Advertisements. A resume search result will display a listing of Candidates that meet the parameters of the resume search. The resume search results will identify the Candidates by username and a summary of some of their Key Skills. The Employer can select which Candidates identified in the resume search results to shortlist for a Job Advertisement. The Candidate may set and change a searchable status of their Candidate Profile to permit or not permit their Candidate Profile to be displayed to Employers in resume search results. The Site Operator may make some or all of the Candidate Profile available in a resume search, subject to the searchable status of the Candidate Profile.
 
A Candidate with an active account may perform a job search for Job Advertisements and may apply for a job in a Job Advertisement identified by the job search. If a Candidate applies for a job in a Job Advertisement then the Candidate agrees to allow the Site Operator to make the Candidate™s detailed resume and video resume available to the Employer associated with the Job Advertisement. An Employer will consider a Candidate that uses the Website to apply for a job in the Employer™s Job Advertisement and decide whether or not to shortlist the Candidate.
 
If an Employer shortlists a Candidate for a job in a Job Advertisement then the Site Operator may notify and request the Candidate whether to make the Candidate™s detailed resume and video resume/profile available to the Employer. If the Candidate is not interested in the job in the Job Advertisement then the Site Operator will deny the Employer access to the Candidate™s detailed resume and video resume. If the Candidate is interested in the job in the Job Advertisement then the Candidate will agree to allow the Site Operator to make the Candidate™s detailed resume and video resume available to the Employer associated with the Job Advertisement. The Site Operator has no obligation to provide an Employer with access to information regarding the Candidate™s detailed resume and video resume.
 
Employers agree to only use a Candidate Profile including the detailed resume and the video resume for its purpose of hiring for the job in the Job Advertisement. Employers agree to not disclose or use a Candidate Profile including the detailed resume and video resume to any third party or for any illegal, unsolicited, or other purpose.
 
Site Operator assumes no responsibility for Candidate Profiles and Candidates hired through the Website. The Site Operator has no control and makes no representation about the ability of the Candidate in relation to a job in a Job Advertisement.
 
5. Fee and Payment
 
The Employer agrees to pay a subscription fee to the Site Operator for a Job Advertisement to be listed on the Website and making it available to display for any job search activity on the Website. The Site Operator reserves the right to change the subscription fee any time without a notice. Any change in the subscription will be applicable to future purchases only.
 

6. Job and Candidate Information
 
The Site Operator does not control the content posted by Candidates and Employers and makes no representation or warranty regarding the quality, accuracy, security, safety, or reliability of the information available on or accessible through the Website. The Site Operator has no control over the truth, accuracy, quality, or legality of the information displayed on Job Advertisements and Candidate Profiles including any representation made by an Employer or Candidate.
 
7. Errors, Inaccuracies, and Omissions
 
Occasionally there may be information on the Website that contains typographical errors, inaccuracies, or omissions that may relate to Job Advertisements, Candidate Profiles, and other information. The Site Operator reserves the right at any time and its sole discretion and without prior notice to correct any errors, inaccuracies or omissions to the information on the Website.
 
8. Information Submitted Through the Website
 
The submission of information through this Website is governed by our Privacy Policy. This Agreement incorporates by reference the terms and conditions of the Privacy Policy.
 
9. Links to Other Websites and Services
 
The Website may contain links to other websites that are not maintained, controlled or created by the Site Operator. The Site Operator makes no representations about and has no responsibility for the linked websites, and does not endorse any linked website or the information appearing thereon. Links are provided solely for the convenience and information of this Website\'s users, and do not imply that the Site Operator endorses, is affiliated with or associated with such linked websites. The Site Operator recommends before using any third party website, review of such website™s own terms of use agreement and privacy policy.
 
10. Website Security
 
Employers, Candidates and other users are prohibited from violating or attempting to violate the security of this Website, including, without limitation:
accessing data not intended for you, including logging into a server or account which you are not authorized to access,
attempting to probe, scan or test the vulnerability of a system or network to breach security or authentication measures without proper authorization,
attempting to interfere with, disrupt or disable service to any user, host or network, including, without limitation, via means of \"denial of service\" attacks, overloading, \"flooding\", \"mail bombing\" or \"crashing\",
forging any TCP/IP packet header or any part of the header information in any e-mail or posting,
disrupt network nodes or network services or otherwise restrict, inhibit, disrupt or impede Site Operator™s ability to monitor or make available the Website;
taking any action in order to obtain non-entitled services; and
framing, scraping, data-mining, mirroring, extracting or collecting contents of the Website.
 
Violations of system or network security may result in civil or criminal liability. The Site Operator may investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting anyone who is involved in such violations.
 
11. Right to Change the Website
 
The Site Operator reserve the right, at any time, and without prior notice, at its sole discretion, to: modify, change, add, delete, restrict, suspend or discontinue this Website or any aspect of this Website (for example, any service, content, account, Job Advertisement, Candidate Profile or feature displayed on or offered through this Website, and including access to, or use of the Website); charge fees in connection with the use of this Website; modify and/or waive any fees charged in connection with this Website; and/or offer opportunities to some or all Employers, Candidates and other users of this Website. The Site Operator shall not be liable to Employers, Candidates, other users, or to any third party for any modification, suspension or discontinuance of the Website, or for any service, content, feature or product offered through this Website.
 
If an Employer, Candidate, or other user does not abide by the Agreement, as determined by the Site Operator in its sole and absolute discretion, the Site Operator has the right to and may revoke privileges to use all or a portion of this Website and/or take any other appropriate measures to enforce the Agreement, without warning or liability whatsoever. For example, the Site Operator may suspend, cancel or terminate access to the Website (or any part thereof), accounts, Job Advertisements and Candidate Profiles.
 
12. Disclaimer
 
Without limiting the foregoing, everything on the Website is provided œas is? and œas available? without warranties, representations and/or conditions of any kind, either express or implied, including, without limitation, warranties of title, implied warranties, representations or conditions of business quality, fitness for a particular purpose, or title and non-infringement of intellectual property. The Site Operator does not warrant that this Website or the servers making the Website available are virus free or free of other harmful components, or that the Website and its functions will be uninterrupted or error free, or that defects will be corrected. By providing Job Advertisements, information and materials on the Website, the Site Operator does not in any way promise that they will remain available. The Site Operator and its affiliates expressly disclaim any duty to update or revise the content of the Website, although we may modify the content at any time without notice. Use of the Website is at your sole risk, and Candidates, Employers, and users assume full responsibility for any costs associated with your use of this Website. The Site Operator and/or its affiliates shall not be liable for any harm, loss or damage of any kind related to your use or misuse of this Website, including, without limitation, in relation to correctness, accuracy, reliability, or otherwise.
 
13. Indemnification

Employers, Candidates, and other users agree to defend, indemnify and hold the Site Operator harmless from and against any and all claims, damages, loss, costs and expenses, including attorneys\' fees, arising from or related to their use or misuse of the Website and/or their breach of any representation, warranty, or other provision of the Agreement.

14. Choice of Law and Jurisdiction

This Agreement shall be construed in accordance with the laws of Ontario and Canada, as applicable therein, without regard to any conflict of law provisions. Any dispute arising under this Agreement shall be resolved exclusively by the Superior Court of Justice or Federal Court of Canada residing in Toronto, Ontario.

15. General

The waiver of any provision of the Agreement shall not be considered a waiver of any other provision or of the Site Operator™s right to require strict observance of each of the terms herein. If any provision of the Agreement is found to be unlawful, void or unenforceable for any reason, that provision shall be severable, and will not affect the validity and enforceability of all other provisions, which shall remain in full force and effect. This Agreement constitutes the entire agreement between us relating to your use of this Website.

16. Termination

These terms are effective unless and until terminated by the Site Operator. The Site Operator may terminate this Agreement at any time without notice, and accordingly may deny access to this Website, for any reason or no reason. The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this Agreement for all purposes.
